⚠️ What Happens If the User Breaches the Warranties?

If you breach these warranties — whether intentionally or by negligence — a liability and indemnification clause is triggered. 🛑⚖️


🔍 What Is Considered a “Breach of Warranty”?

Common examples include:

  • ❌ Uploading music without owning or licensing the rights (e.g., unauthorized samples)

  • ❌ Providing false or misleading information about your identity or copyrights

  • ❌ Using cover art, logos, or names that infringe third-party rights

  • ❌ Engaging in any action that results in legal claims or disputes against UMW


💥 What Are the Consequences?

If UMW incurs damages or legal issues because of your actions, you agree to:

1. 💸 Reimburse all legal costs incurred

This includes attorney fees, court costs, expert reports, administrative filings, and any related expenses.

2. ⚖️ Assume responsibility for third-party claims

Whether it's a copyright lawsuit, trademark dispute, or breach of a prior agreement.

3. 🕐 Pay all costs within 10 calendar days

From the moment you’re notified of the situation and the corresponding invoice is issued.


📬 How Will You Be Notified?

UMW will send you:

  • A summary of the legal conflict

  • A breakdown of the legal costs or damages

  • A formal demand for reimbursement and indemnity

👉 You will have 10 calendar days to make the full payment.


🚫 What If the User Refuses or Ignores the Payment?

In case of non-payment or no response:

  • 🛑 Your account may be suspended or terminated

  • ⚠️ All pending royalties may be withheld
